Last updated: October 2026
Welcome to Notorio LLC, a Nevada company. These Terms of Service govern your access to and use of Notorio websites, applications, and services (collectively, the Services). By using the Services, you agree to these Terms and our Privacy Policy.
If you are agreeing on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
1. Privacy and Additional Terms
Your use of the Services is subject to our Privacy Policy. Certain features may be subject to additional terms that are incorporated by reference when you use those features.
2. Accounts
2.1 Account Creation. In order to use certain features of the Services, you must register for an account (“Account”) and provide certain information about yourself as prompted by the account registration form.
2.2 Eligibility. You must be at least 18 years old to create an account.
2.3 Accuracy. You agree to provide accurate and current information and to keep it updated.
2.4 Security. You are responsible for your credentials and all activity under your account. Notify us immediately of any unauthorized use.
2.5 Communications and Email Consent. By creating an account or using the Services, you consent to receive electronic communications from Notorio, including emails related to your account, services, and platform activity. You may opt out of receiving non-transactional or promotional emails at any time by using the unsubscribe link included in such communications or by adjusting your account preferences. Please note that even if you opt out of non-transactional emails, you will continue to receive required transactional and operational communications. These may include, but are not limited to, receipts, invoices, account notices, service updates, security alerts, compliance notifications, and other essential communications related to your use of the Services.
3. License and Acceptable Use
3.1 License. Subject to these Terms, Notorio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
3.2 Restrictions. You will not do the following: copy, modify, or create derivative works; reverse engineer or attempt to extract source code; access the Services to build a competing product; use the Services for any unlawful purpose; infringe third party rights; interfere with or disrupt the Services.
4. Important Service Disclosures
4.1 Not legal, tax, or investment advice. Notorio is not a law firm, accounting firm, or investment adviser. Information provided through the Services is for general information and workflow automation only. For legal, tax, or investment advice, consult qualified professionals.
4.2 No guarantees of government or third party outcomes. Government bodies and private partners control their processes. Notorio cannot guarantee timing, approvals, banking decisions, tax outcomes, or filing acceptances.
5. Third Party Providers and Data Sharing Consent
You understand and agree that the Services integrate with third party providers to deliver certain features. Examples include the following:
• Registered agent services provided by independent third party registered agents
• Digital mailroom and virtual mailbox services provided by third party vendors
• E-signature functionality provided by a third party e-signature vendor
• Payment processing provided by a third party processor
• Cloud infrastructure, analytics, communications, or identity verification vendors
To deliver these features, you authorize Notorio to share your information with these providers as needed to provision, operate, and support the Services. Each provider’s terms and privacy practices apply to their component. Notorio does not control their decision making, processing timelines, or approval criteria.
6. Service Specific Terms
6.1 Entity Formations and Filings
Information source. You are solely responsible for the accuracy, completeness, and legality of information you provide for any filing.
Name availability. Entity names are subject to state approval. After formation, any name change requires a separate process and fees.
Turnaround estimates. Any quoted timeframes are estimates that can change based on state workload, postal delays, and other factors.
BOI and CTA. If you request Beneficial Ownership Information reporting support, you authorize Notorio to prepare and transmit data to FinCEN or to a designated provider. You are responsible for verifying accuracy, determining deadlines, and supplying final approvals. Unless expressly agreed in writing, Notorio does not act as Company Applicant.
6.2 Registered Agent Services through Third Parties
Appointment and scope. When you select registered agent service, you appoint a third party provider as your registered agent in the relevant jurisdiction. Their role is limited to receiving service of process and official government communications and forwarding them to you.
Limits and fees. Providers may limit the number or size of accepted deliveries and may charge extra fees for out of scope mail or forwarding. You agree to those limits and fees as published by the provider.
Continuity. You must keep your registered agent subscription active and your address and contact email current. If your subscription terminates or lapses, the provider may resign. You accept sole responsibility for any resulting consequences, including loss of good standing or administrative dissolution.
No general mail. Registered agent addresses are not general mailing addresses unless you separately purchase a digital mailbox plan.
6.3 Digital Mailbox and Mail Handling
Scope. Digital mailbox services are provided by third party vendors and are intended for business mail, not personal or hazardous items.
Scanning and forwarding. You authorize opening, scanning, digitizing, and secure online delivery of mail. Physical forwarding incurs additional postage and handling fees.
Prohibited items. The vendor may refuse packages and items it deems prohibited, illegal, perishable, or unsafe.
Retention and destruction. Scanned items and physical originals are kept for a limited retention period then destroyed, per the vendor’s policy. You are responsible for timely download or forwarding requests.
6.4 E-signature Vendor
Provider. E-signature features are provided by a third party. By using e-signature, you agree to that provider’s terms and to conduct business electronically.
Availability and enforceability. Notorio does not warrant the enforceability of e-signatures in any particular jurisdiction or use case. You are responsible for determining legal sufficiency for your context.
6.5 Banking, Payments, and Tax Tools
Banking partners and KYC. Any banking integration uses third party partners. Approval decisions and underwriting are solely those partners’ decisions. Notorio does not guarantee account openings.
Tax tools. Any tax calculators, reminders, or filing helpers are informational only. Unless you have a separate written engagement with a licensed tax professional, Notorio does not provide tax preparation, audit representation, or legal opinions.
6.6 Service Limits and Mail Handling
6.6.1 Registered Agent Address Use. The registered agent address provided through the Services may be used only for official company purposes, including filings with the Secretary of State and as an officer, member, or manager address in that capacity. It may not be used for personal correspondence or unrelated purposes.
6.6.2 Mail Allowances and Overage. Each subscribed entity is entitled to up to five (5) regular pieces of business mail scanned and uploaded per service year at no additional cost. “Regular mail” does not include Secretary of State correspondence or service of process, which are always scanned. After the free allowance is reached, additional regular mail items may incur a per-item fee as published in the Services. Junk mail is not scanned or uploaded.
6.6.3 Packages and Prohibited Deliveries. Packages and oversized items are not accepted. Such items may be refused at delivery, returned to sender, or held briefly and destroyed if return is not possible. If a package is temporarily held, you will be responsible for all shipping and insurance costs associated with delivery to your forwarding address. Items will only be held for a short retention period before disposal.
6.6.4 Cancellation of Services. If your registered agent or digital mailbox service is canceled, forwarding of mail, notices, or service of process will stop immediately. Cancellation does not automatically remove a registered agent from state records. It is your responsibility to file any required change of agent or address with the appropriate authority. Continued listing of a provider’s address after cancellation may result in loss of good standing, default, or dissolution.
6.7 EIN Filing Authorization
6.7.1 If you elect to have Notorio assist with obtaining an Employer Identification Number (EIN), you acknowledge and agree that:
• You authorize Notorio to prepare and submit EIN application materials on your behalf, including IRS Form SS-4 and any related documentation, based solely on the information you provide.
• You represent that all information you provide is accurate, complete, and truthful. You understand that providing false information to the Internal Revenue Service may result in penalties or other legal consequences.
• You authorize Notorio to use third party service providers to facilitate the preparation and submission of the EIN application. These third party providers may collect, process, or transmit information necessary to complete the filing.
• You acknowledge that the issuance of an EIN is solely within the authority of the Internal Revenue Service, and that Notorio does not guarantee approval, timing, or outcome of the application.
• You understand that Notorio is not responsible for delays, errors, rejections, or other issues caused by the Internal Revenue Service or any third party provider involved in the application process.
• You agree to promptly respond to any requests for clarification or additional information related to the EIN filing.
• Notorio does not act as your authorized representative for federal tax purposes beyond the preparation and submission of EIN application materials, and does not provide legal or tax advice related to the EIN process.
• If you provide information about any other individual or entity, including but not limited to a responsible party, officer, owner, member, manager, partner, employee, agent, or other third party, you represent and warrant that you have obtained all necessary authorization, consent, and legal authority to provide that information to Notorio and to authorize Notorio and its third party service providers to use, process, transmit, and submit that information for purposes of preparing and filing the EIN application.
7. Your Content
You retain ownership of content you submit to the Services. You grant Notorio a non-exclusive, worldwide, royalty-free license to host, use, reproduce, process, transmit, and display Your Content to provide and improve the Services. You also grant a right to create aggregated and anonymized data that does not identify you, which Notorio may use for any lawful purpose.
You represent that Your Content does not infringe any third party rights and complies with applicable laws.
8. Payments, Renewals, and Refunds
8.1 Fees. Prices, taxes, and third party pass-through fees are shown at checkout or in your plan. You authorize Notorio and its payment processors to charge your payment method for all fees when due.
8.2 Subscriptions. Subscriptions renew automatically until canceled. You can cancel in the app before the renewal date to avoid future charges.
8.3 Pass-through charges. Government fees, postage, courier, registered agent overage, digital mailbox forwarding, and similar third party charges are your responsibility.
8.4 No refunds for third party decisions. There are no refunds due to third party denials, delays, or changes once work has started or filings have been submitted.
8.5 Refund policy. Unless required by law or stated otherwise in your plan, fees are non-refundable after work begins or after 30 days from purchase, whichever occurs first.
8.6 Price changes. Notorio may change pricing for one-time services and subscription plans from time to time. Updated pricing will apply to new purchases. For subscriptions, any price changes will apply to future billing periods after notice in the app, by email, or on our website. Government fees and other third party costs may change at any time and will be passed through at the current rate.
9. Changes to the Services
We may change, suspend, or discontinue features without liability. We will try to provide notice of material changes that affect you.
10. Proprietary Rights
The Services are owned by Notorio and its licensors. No rights are granted except as expressly stated. Feedback you provide may be used by Notorio without restriction.
11. Disclaimers
The Services are provided as is and as available. To the maximum extent permitted by law, Notorio disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Notorio does not warrant that the Services will be uninterrupted, timely, secure, or error free.
12. Limitation of Liability
To the maximum extent permitted by law, Notorio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, even if Notorio has been advised of the possibility of such damages. Notorio’s total liability for all claims in any twelve month period will not exceed the greater of the amount you paid to Notorio for the Services in that period or one hundred United States dollars.
Some jurisdictions do not allow certain limitations. In those jurisdictions, Notorio’s liability will be limited to the maximum extent permitted by law.
13. Indemnification
You will defend, indemnify, and hold harmless Notorio and its officers, directors, employees, and agents from any claim, loss, liability, and expense, including reasonable attorneys’ fees, arising out of or related to Your Content, your use of the Services, your violation of these Terms, or your violation of any rights of a third party or law.
14. Suspension and Termination
We may suspend or terminate your account or access to the Services for any violation of these Terms, fraud, non-payment, or to comply with law. You may stop using the Services at any time. Sections that by their nature should survive will survive termination, including Sections 5 through 18.
15. Notices of Changes
We may notify you of changes by email or by posting in the Services. Changes become effective on the date stated in the notice. Continued use after the effective date means you accept the changes.
16. Dispute Resolution, Arbitration, and Class Action Waiver
Please read this section carefully. It affects your rights.
16.1 Informal resolution. Before filing a claim, the party must send a written Notice of Dispute describing the claim and requested relief through the contact form at notorio.io/contact (marked “Notice of Dispute”) and to Notorio LLC, Attn Legal, 732 S 6th St, Suite R, Las Vegas, NV 89101. The parties will try to resolve the dispute within 30 days after the Notice is received.
16.2 Arbitration. If not resolved, all claims will be resolved by binding arbitration on an individual basis administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator. The seat will be Clark County, Nevada, and the language will be English. Judgment on the award may be entered in any court with jurisdiction.
16.3 No class actions. Claims must be brought in an individual capacity, not as a class, collective, or representative action. The arbitrator cannot consolidate claims of more than one person.
16.4 Small claims. Either party may bring a claim in small claims court in Clark County, Nevada, if it qualifies.
16.5 Injunctive relief. Either party may seek temporary or preliminary injunctive relief in court to protect its confidential information or intellectual property.
16.6 Jury trial waiver. If a claim proceeds in court rather than arbitration, the parties waive any right to a jury trial.
17. Export and Sanctions
You will comply with U.S. export control and sanctions laws and any other applicable export and import regulations. You represent that you are not located in, and are not a resident of, any embargoed country and are not a denied party.
18. Additional Policies for Compliance and Security
18.1 Identity verification. You consent to identity verification checks required by government agencies, banks, or vendors.
18.2 Use of Notorio addresses. Do not use a registered agent address as a general mailing address unless you have an active digital mailbox subscription for that location.
18.3 Prohibited use. Do not upload unlawful, harmful, confidential, or personal data that you are not authorized to share.
19. E-signature and Electronic Communications
You consent to receive communications electronically. You agree that electronic signatures and records have the same legal effect as paper signatures and records, subject to applicable law and to the capabilities of the e-signature provider.
20. Payment Processing
Payments on Notorio’s platform are processed by Stripe. You agree to their terms and privacy policies.
21. Document Retention
Operational records, mail scans, and system logs are retained for limited periods and then deleted per our policies or the policies of third party providers. Download and save your documents promptly.
22. Third-Party Terms
Your use of integrated third party services is subject to those providers’ terms. Examples include registered agents, digital mailbox vendors, e-signature vendors, payment processors, and bank partners. If there is a conflict between those terms and these Terms, those terms will govern for the third party component only.
23. Other Disclosures
23.1 Technology Platform Only. Notorio LLC is a technology company, not a law firm or accounting firm. We do not provide legal services, legal representation, legal advice, accounting services, auditing services, or tax advice. The information available on this website and within the Notorio platform is provided for general informational purposes only and may not reflect the most current legal, regulatory, or tax developments. Nothing on this website or platform should be interpreted as creating an attorney-client relationship, accountant-client relationship, or any other professional advisory relationship. For advice regarding your specific legal, tax, or financial situation, you should consult a licensed attorney, qualified accountant, or other appropriate professional in your jurisdiction.
23.2 Third Party Services. Some services offered through the Notorio platform are performed by independent third party providers. Notorio provides technology, workflow tools, and billing infrastructure that connect users with these services. Registered Agent services may be fulfilled by third party registered agent providers. Service of process and official notices are received and forwarded by those providers. Additional forwarding limits, handling rules, or fees may apply depending on the provider and jurisdiction. You must maintain an active subscription to avoid interruptions or lapses in service. Digital Mailbox services are performed by a third party vendor. Mail received at the address associated with your account may be opened, scanned, and digitized by that vendor so it can be delivered to your Notorio workspace. Physical forwarding, oversized items, or special handling may incur additional fees. Physical mail items are stored only for a limited retention period and may be destroyed after that period. Electronic signature functionality available through the platform is provided by a third party vendor. By using electronic signature features, you agree to conduct transactions electronically and to comply with the applicable terms and conditions of that vendor.
23.3 Service Availability. While we strive to provide reliable access to the Notorio platform and related services, we do not guarantee that the platform will always be available, uninterrupted, secure, or free from errors. Access to the platform may be temporarily unavailable due to scheduled maintenance, system updates, infrastructure issues, or other technical circumstances beyond our control. Notorio will make reasonable efforts to restore service as quickly as possible when interruptions occur.
23.4 No Warranties and Use at Your Own Risk. Your use of the Notorio website, platform, and services is at your own risk. All information and services are provided on an “as is” and “as available” basis. Notorio LLC makes no warranties or representations regarding the accuracy, completeness, reliability, or suitability of any information, tools, or services provided through the platform. To the fullest extent permitted by law, Notorio LLC disclaims all liability for any loss, damage, or claim arising out of or related to your reliance on information or services provided through the website or platform.

Many core features are already live, including Digital Mailbox with unlimited digital mail forwarding, Registered Agent service, company formation workflows (LLC, corporation, nonprofit, and EIN filings), document management for clients, vendors, and teams, and invoicing. Additional features such as advanced cap table management, automated compliance reminders, state filing integrations, and expanded document automation are currently being tested and will roll out soon.
23.6 Changes to These Terms. Notorio may update these Terms from time to time. When we do, we will notify users by email or through the platform and update the ‘Last Updated’ date. Changes will become effective on the date specified in the notice. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the services.

You should consult a licensed attorney for advice regarding your specific situation.
24.3 AI Outputs and Accuracy. Outputs generated by Notorio AI may be incomplete, inaccurate, or not tailored to your specific circumstances. Artificial intelligence systems can produce errors or misleading results. 24.4 User Responsibility for Inputs. You are solely responsible for any content, documents, or information you submit to Notorio AI and represent that you have all necessary rights and permissions to provide such content. You agree not to submit any information in violation of applicable laws, contractual obligations, or confidentiality restrictions.
24.5 Ownership of Inputs and Outputs. As between you and Notorio, you retain ownership of your inputs and, to the extent permitted by law, any outputs generated for you. Due to the nature of artificial intelligence, outputs may not be unique and similar content may be generated for other users.

Notorio reserves the right, at any time and without notice, to: (a) set, modify, or remove commission rates; (b) adjust, limit, or revoke discounts or promotional offers; (c) determine whether a referral qualifies for a commission; and (d) withhold, deny, or reverse commissions in cases of suspected abuse, fraud, or violation of these Terms. All determinations made by Notorio regarding commissions and discounts are final.
25.5 Payment Terms. Commissions, if any, will be paid according to the schedule and method determined by Notorio. Notorio may delay, withhold, or cancel payments for incomplete, invalid, refunded, or fraudulent transactions.
25.6 Prohibited Conduct. You agree not to: (a) misrepresent Notorio or its services; (b) engage in deceptive, misleading, or unlawful marketing practices; (c) use spam or unauthorized promotional methods; (d) create fake accounts or refer yourself. 26.4 Waiver. A failure to enforce a provision is not a waiver.
